Terms of Service

Read this before using Fiabita. Fiabita is a documentation-assistance and study tool that uses artificial intelligence to help you draft and organize your own content. It does not replace your professional judgment, your employer's policies, your regulatory college's standards, or your school's academic requirements. You are solely responsible for reviewing, verifying, and taking ownership of anything you produce using this app before relying on it professionally, clinically, or academically.

1. Acceptance of Terms; Who Is Bound

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "User," or "Subscriber") and the operator of Fiabita ("Fiabita," "we," "us," or "our"). By accessing, registering for, downloading, installing, or otherwise using the Fiabita application, website, or any related service (collectively, the "Service"), you agree to be bound by these Terms in full.

These Terms apply to you upon your first access to the Service and continue to apply to any and all subsequent access, use, registration, or re-registration, including if you cancel your subscription, delete your account, and later create a new account or otherwise rejoin the Service at any time in the future. If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

"Service" means the Fiabita application, website, application programming interfaces, and any related content, tools, or features made available by Fiabita.
"User Content" means any text, notes, or other material you submit, paste, or otherwise input into the Service.
"AI Output" means any text or material generated, rewritten, or produced by the Service using artificial intelligence technology in response to User Content.
"Third-Party Services" means services provided by parties other than Fiabita that the Service relies on, including but not limited to Anthropic and OpenAI (AI processing) and Stripe (payment processing).

3. Nature of the Service; AI Disclosure

Fiabita uses artificial intelligence technology, including third-party large language models, to assist Users in rewriting, organizing, and drafting their own content. Fiabita is an AI-assisted tool operated and maintained by human developers; it is not an autonomous system operating without human oversight, and it does not independently create, verify, or take responsibility for the accuracy of AI Output. All AI Output should be treated as a draft requiring your independent review, judgment, and verification before any professional, clinical, academic, or other use.

4. No Professional Relationship; No Advice

Use of the Service does not create any nurse-patient, clinician-patient, employer-employee, advisor-client, or other professional relationship between you and Fiabita. Nothing in the Service constitutes medical, clinical, legal, or professional advice of any kind.

5. Prohibited Content

You must never submit real, identifiable patient information (including names, dates of birth, health card numbers, addresses, or any other identifying detail) into the Service. You must not use the Service for any unlawful purpose, to violate any third party's privacy or confidentiality obligations, or to violate any employer, institutional, or regulatory college policy applicable to you.

6. DISCLAIMER OF WARRANTIES

THE SERVICE AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. FIABITA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR INTENDED USE.

7. Assumption of Risk

You expressly acknowledge and assume all risk arising from your use of the Service and reliance on any AI Output, including any consequences to your employment, academic standing, professional licence, or regulatory standing.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FIABITA, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, EMPLOYMENT, PROFESSIONAL LICENSURE, OR ACADEMIC STANDING, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF FIABITA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FIABITA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO FIABITA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Fiabita and its owners, officers, directors, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your submission of User Content that violates any law, regulation, or third-party right; or (d) any reliance by you or any third party on AI Output.

10. Dispute Resolution; Arbitration; Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If such dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration under the applicable arbitration rules of the Province of Quebec, and judgment on the arbitration award may be entered in any court of competent jurisdiction. You and Fiabita each waive any right to a jury trial or to participate in a class action, class arbitration, or representative proceeding. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction where appropriate.

11. Intellectual Property

The Service, including its software, design, trademarks, and content (excluding User Content and AI Output generated from your specific submissions), is owned by Fiabita and protected by applicable intellectual property laws. You retain ownership of your own User Content. By submitting User Content, you grant Fiabita a limited, non-exclusive licence to process that content solely for the purpose of providing the Service to you.

12. Third-Party Services

The Service relies on Third-Party Services, including AI processing infrastructure and payment processing. Fiabita is not responsible for the acts, omissions, downtime, or policies of these third parties, though we select and configure them with reasonable care.

13. Subscriptions and Billing

Subscriptions are billed in advance on a monthly or annual basis via Stripe. Free trials, where offered, convert automatically to a paid subscription at the end of the trial unless cancelled beforehand. You may cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable.

14. Eligibility

You must be at least the age of majority in your province of residence to create an account, or have the consent of a parent or guardian where permitted by law.

15. Suspension and Termination

We may suspend or terminate your access at any time, with or without notice, if you violate these Terms, misuse the Service, submit prohibited content, or create legal or safety risk for us or others. Sections of these Terms that by their nature should survive termination (including Sections 6 through 11) shall survive.

16. Force Majeure

Fiabita shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, internet or infrastructure outages, or failures of Third-Party Services.

17. Modification of Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18. General Provisions

Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
No Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fiabita regarding the Service.
Assignment: You may not assign these Terms without our consent; we may assign these Terms freely.

19. Governing Law and Venue

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles, subject to the arbitration provisions above.
